Job Summary

Randstad India is seeking a qualified Company Secretary to provide comprehensive administrative and governance support to the Board of Directors. This role ensures rigorous compliance with regulatory requirements, including the Companies Act, FEMA/RBI, and SEBI Guidelines, and maintains accurate corporate records.


🧭 Key Responsibilities

  • Governance & Compliance: Ensure compliance with the Companies Act, FEMA/RBI, and SEBI Guidelines across multiple entities.

  • Board & Committee Administration: Coordinate and document Board and Committee meetings, including agendas and minutes.

  • Shareholder Relations: Act as a liaison with shareholders and coordinate Annual and Extraordinary General Meetings.

  • Corporate Records Maintenance: Maintain statutory company records and ensure timely filings with the Registrar of Companies (RoC).

  • Communication & Risk Management: Facilitate communication between the Board, management, and stakeholders; identify and mitigate governance risks.

  • Special Projects: Provide secretarial support during Mergers & Acquisitions (M&A) and other ad-hoc initiatives.


🎓 Requirements

  • Education: Bachelor’s degree in Law, Business Administration, or a related field.

  • Certification: Professional certification in company secretarial practice (e.g., ACS/FCS or equivalent).

  • Experience: Minimum 5 years’ experience as a Company Secretary or in a closely related corporate governance and compliance role.

  • Expertise: Strong knowledge of corporate governance best practices and regulatory requirements.

  • Skills: Excellent communication, organizational, and administrative skills; ability to maintain confidentiality and handle sensitive information.


Salary Range :

₹6,50,000 – ₹8,00,000 per annum
